1. PARTIES TO THE AGREEMENT

This Contractor Service Agreement ("Agreement") is entered into as of the date of execution between:

CONTRACTOR: 3LE Property Preservation & Valuation Services, LLC ("3LE"), a California limited liability company with principal offices located in Richmond, California.

CLIENT: The individual or entity identified in the project proposal or work order ("Client").

2. SCOPE OF SERVICES

3LE agrees to provide professional property preservation, maintenance, landscaping, valuation, and related services ("Services") as detailed in the attached work order, proposal, or quote. Services may include but are not limited to:

  • Property preservation and maintenance
  • Landscaping and lawn care services
  • Handyman and repair services
  • Property valuation and assessment
  • Construction draws and inspections
  • Debris removal and cleaning
  • Lock changes and security services
  • Any other services mutually agreed upon in writing

3. PAYMENT TERMS

3.1 Pricing: Client agrees to pay 3LE for Services rendered at the rates specified in the project proposal, quote, or work order. All prices are in U.S. Dollars.

3.2 Payment Schedule: Payment terms shall be as specified in the work order. Unless otherwise agreed, payment is due within 48 hours of invoice date.

3.3 Late Payments: Invoices not paid within 48 hours will incur a 10% administrative fee plus 1.5% per month (18% annually) on the outstanding balance.

3.4 Deposits: For projects exceeding $5,000, a 50% deposit may be required before work commences.

4. TIMELINE AND SCHEDULING

3LE will make reasonable efforts to complete Services within the timeline specified in the work order. However, timelines are estimates and may be subject to change due to:

  • Weather conditions and natural disasters
  • Material availability and supply chain issues
  • Unforeseen site conditions
  • Changes requested by Client
  • Regulatory delays or permit requirements

Client will be notified promptly of any anticipated delays.

5. LICENSING AND INSURANCE

3LE maintains all necessary licenses, permits, and insurance required to perform the Services:

  • General contractor's license in the State of California
  • General liability insurance with minimum $1,000,000 coverage
  • Worker's compensation insurance as required by California law
  • Bonding capacity for projects as required

Certificates of insurance will be provided upon request.

6. SAFETY AND COMPLIANCE

3LE is committed to maintaining the highest safety standards:

  • All workers wear appropriate Personal Protective Equipment (PPE) including hard hats, safety glasses, gloves, and steel-toed boots as required
  • Body cameras may be worn for documentation and quality assurance purposes
  • All work complies with OSHA regulations and California building codes
  • Employees undergo regular safety training and certification
  • All equipment is properly maintained and inspected

7. CONFIDENTIALITY AND NDA

3LE agrees to maintain the confidentiality of all Client information, property access codes, financial data, and other sensitive information. All employees and subcontractors are required to sign Non-Disclosure Agreements (NDAs).

Client information will not be shared with third parties except as required by law or with Client's express written consent.

8. WARRANTY AND GUARANTEES

8.1 Workmanship Warranty: 3LE warrants that all Services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Materials Warranty: Materials are warranted according to manufacturer specifications. 3LE will assist with warranty claims as needed.

8.3 Callback Service: If any defects in workmanship are discovered within 90 days of completion, 3LE will return to address the issue at no additional charge.

9. CHANGES AND MODIFICATIONS

Any changes to the scope of Services must be agreed upon in writing by both parties. Additional work will be billed separately and may affect project timeline. Change orders will be issued documenting any modifications to the original agreement.

10. TERMINATION

Either party may terminate this Agreement with 7 days written notice. Upon termination:

  • Client will pay for all Services rendered up to the termination date
  • 3LE will return any materials purchased by Client
  • Client will grant access to complete any work necessary for site safety
  • All confidentiality obligations remain in effect

11. LIABILITY AND INDEMNIFICATION

3LE maintains comprehensive insurance coverage and will be responsible for damages caused by negligence or failure to perform Services according to industry standards. However, 3LE is not liable for:

  • Pre-existing conditions not disclosed by Client
  • Damage caused by Client or third parties
  • Hidden defects not reasonably discoverable
  • Acts of God or force majeure events

12. DISPUTE RESOLUTION

Any disputes arising from this Agreement will be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation by a mutually agreed upon mediator
  3. Binding arbitration under California law if mediation is unsuccessful

Venue for any legal proceedings will be Contra Costa County, California.

13. GOVERNING LAW

This Agreement is governed by the laws of the State of California. Any legal action must be brought in Contra Costa County, California.

14. ENTIRE AGREEMENT

This Agreement, together with any attached work orders, proposals, and quotes, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements. This Agreement may only be modified in writing signed by both parties.

15. NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement is incorporated into and forms part of this Contractor Service Agreement.

15.1 Purpose

3LE Property Preservation & Valuation Services may disclose confidential information to contractors for the purpose of providing services, including but not limited to inspections, repairs, debris removal, and construction.

15.2 Confidential Information

Confidential Information includes, but is not limited to:

  • Business operations, strategies, pricing, and client lists
  • Project details, work specifications, and proprietary methods
  • Any non-public information disclosed by the Company

15.3 Obligations of the Receiving Party

The Receiving Party agrees to:

  • Maintain the confidentiality of all disclosed information
  • Not disclose, share, or use the Confidential Information for personal or third-party gain
  • Return or destroy any confidential materials upon request

15.4 Exclusions

Confidential Information does not include:

  • Information already publicly available
  • Information lawfully received from a third party without obligation of confidentiality
  • Information required to be disclosed by law

15.5 Duration

This Non-Disclosure Agreement remains in effect for one (1) year from the date of signing.

15.6 Breach & Penalties

A breach of this Non-Disclosure Agreement will result in monetary fines determined by 3LE Property Preservation & Valuation Services in addition to possible legal action for damages.

15.7 Governing Law

This Non-Disclosure Agreement shall be governed and interpreted under the laws of California.

15.8 Acknowledgment

By signing this Contractor Service Agreement, both parties acknowledge that they have read, understood, and agree to be bound by the terms of this Non-Disclosure Agreement.

16. HOLD HARMLESS AGREEMENT

This Hold Harmless Agreement establishes the service standards and mutual obligations between 3LE Property Preservation & Valuation Services and all contractors providing services.

16.1 Core Service Standards: Accuracy and Timeliness

The core service we provide to our clients is accuracy and timeliness. These elements are essential to the success of our business and the satisfaction of our clients. Any failure to meet these service standards—whether in terms of timely completion of orders or providing accurate inspection reports—can result in a loss of business and financial impact for all parties involved.

16.2 Deadline Compliance and Payment

To maintain our service standards and ensure timely payment, all orders must be completed by their respective due dates. Failure to meet deadlines may result in the withholding of payment. Continued non-compliance with deadlines may lead to termination of this agreement and cessation of any future services between the involved parties.

16.3 Accuracy Requirements and Contractor Liability

Both accuracy and timeliness are critical to maintaining the integrity of our services.Inaccurate inspection or repair reports can lead to significant financial lossesfor our clients, particularly if damage occurs to the property in question.

Should such damages arise from negligent or inaccurate reporting, the costs may be passed on to the contractor.

It is essential that all updates and reports are communicated promptly and accurately. Contractors hold themselves harmless and agree to indemnify 3LE Property Preservation & Valuation Services against any claims, damages, or losses resulting from their negligent or inaccurate work.

16.4 Communication Standards

Communication is Key: Effective communication between 3LE Property Preservation & Valuation Services and contractors is vital to achieving client-centric objectives.

  • Any issues encountered in the field must be communicated to the vendor manager promptly
  • The more we share and address concerns as they arise, the better informed both our business and our clients will be
  • Transparent and consistent communication will ultimately result in a stronger working relationship and better outcomes for all parties

16.5 Commitment to Partnership

We are committed to fostering a productive and cooperative working relationship with all contractors and inspectors. As part of this partnership, we may offer suggestions that benefit the overall vendor management process. By providing our clients with the high-quality service they deserve, we ensure the continued success and growth of our mutual business interests, in line with our goal of preserving the client's interests.

16.6 Hold Harmless Clause

By signing this agreement, the contractor agrees to hold harmless and indemnify 3LE Property Preservation & Valuation Services, LLC, its officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or relating to:

  • The contractor's negligent or willful acts or omissions
  • Inaccurate or incomplete reports, inspections, or documentation
  • Failure to meet agreed-upon deadlines or service standards
  • Any breach of this agreement or violation of applicable laws or regulations
